Terms of Service

Terms of Service of StartupJobs.com s.r.o., company ID 29153786, VAT ID CZ29153786, registered office at Šostakovičovo náměstí 1515/5, 155 00 Praha 5 – Stodůlky, Czech Republic, entered in the Commercial Register kept by the Municipal Court in Prague, Section C, Insert 204709, governing access to and use of the UpWolf service at upwolf.com.

1. Introduction

  1. These Terms govern the rights and obligations of the Provider and the Customers who use UpWolf, as well as related legal relationships.
  2. UpWolf is a business-to-business tool. It is intended solely for entrepreneurs and legal entities acting within their business. It is not intended for consumers.
  3. Anyone who registers on behalf of a legal entity confirms that they are authorised to represent it. By registering or using the Service, the Customer confirms that it has read the current version of these Terms and agrees to be bound by them.

2. Definitions

  • Provider means StartupJobs.com s.r.o., identified above.
  • Service or UpWolf means the web application at upwolf.com, including its API, MCP connector, output feeds and related features.
  • Customer means the entrepreneur or legal entity that has an account in the Service.
  • User means a natural person whom the Customer has given access to its account (e.g. an employee or agency).
  • Listing means the Customer's offer (job ad, property, vehicle, product or service) from which the Service prepares an ad, whether it comes from a feed, a URL, the API or manual entry.
  • Creative means an ad's visual and text (image, video, headline, copy) prepared by the Service or uploaded by the Customer.
  • Ad Platform means a third-party advertising system where campaigns run, currently Meta (Facebook, Instagram, Messenger, Threads).
  • Ad Account means the Customer's advertising account on an Ad Platform.
  • Credits means the units in which the Service is paid for.
  • Price List means the current prices published at upwolf.com, or an individual offer agreed with the Customer.

3. Description of the Service

  1. The Service turns the Customer's Listings into ad campaigns. It reads the Listings, prepares Creatives and targeting, launches and manages campaigns on the Customer's Ad Account, monitors spend and performance, and pauses ads for Listings that are no longer active.
  2. Creatives are prepared with the help of artificial intelligence (large language models of third parties, see the Privacy Policy) and checked by automated rules before launch. The Customer may also upload its own Creatives.
  3. Depending on the agreed setup, a Creative that passes automated checks may be launched automatically or wait for manual approval by a User. At the Customer's request, the Provider will set up the account so that no ad goes live without manual approval.
  4. The Service may also generate output feeds from the Customer's Listings for third parties chosen by the Customer (e.g. job portals). A feed is available at an address containing a secret token; the Customer decides who receives that address.
  5. The Provider may change, extend or limit the Service's features, in particular in response to changes on the Ad Platforms. The Provider will give advance notice of any change that substantially limits a feature the Customer pays for.

4. Registration and account

  1. Users sign in with a one-time link sent to a verified email address; the Service does not use passwords.
  2. Registration and access to the Service are subject to the Provider's approval. The Provider may ask the Customer for information about its business and may decline a registration without giving reasons.
  3. The Customer must provide true and current information and is responsible for all activity under its account, including activity by Users and by tools connected through the API or MCP.
  4. The Customer must keep access to Users' mailboxes, API keys and connected tools secure and must promptly remove access for people who are no longer authorised. The Customer must notify the Provider without delay of any suspected misuse of its account.
  5. Authorised staff of the Provider may access the Customer's account to provide support, set up the Service and resolve incidents. Every such action is recorded.

5. Connecting Ad Accounts

  1. Campaigns run on the Customer's own Ad Account. By connecting it, the Customer authorises the Provider to create, change, pause and end campaigns, ad sets and ads on its behalf within the scope of the Service, and to read their settings and results.
  2. The Provider may also access the connected Ad Account read-only through its own application on the Ad Platform in order to monitor the health of the connection.
  3. The Customer is responsible for having the right to use the Ad Account, the page and the other assets it connects, and for complying with the terms and advertising policies of the Ad Platform. The Provider is not responsible for decisions of the Ad Platform, such as ad rejection, account restrictions or changes to its interfaces.
  4. The Customer may disconnect an Ad Account at any time. Campaigns already running on the Ad Platform then remain under the Customer's control.

6. Ad spend

  1. The Customer pays ad spend directly to the Ad Platform from its own Ad Account. Ad spend is not part of the Service price and the Provider does not receive or manage these funds.
  2. The Customer sets the budgets and spending limits. The Service observes them, but the actual spend is determined by the Ad Platform, which may deviate from the set budget within its own rules. The Provider is not responsible for such deviations.
  3. The Provider does not guarantee any results of campaigns (reach, clicks, applications, sales) or their cost.

7. API, MCP and AI assistants

  1. The Customer may connect its systems through the API and connect AI assistants through the MCP connector, using a personal key or OAuth authorisation. Actions performed this way are treated as actions of the User to whom the key or authorisation belongs.
  2. Through the MCP connector an assistant can read campaigns, performance, recommendations, listings with candidate counts and account reports, and approve Creatives. Approving a Creative may launch paid advertising. Budget and targeting cannot be changed this way.
  3. The AI assistant or other tool that the Customer connects is the Customer's own service; the Provider is not responsible for its behaviour or for how its operator handles data.
  4. The Provider may limit the volume of API and MCP requests and may revoke a key or authorisation if it is misused.

8. Content and responsibility

  1. The Customer is solely responsible for the content of its Listings and Creatives and for the campaigns launched on its behalf, including their compliance with the law (in particular anti-discrimination, consumer protection and advertising regulation) and with the Ad Platform's policies. This also applies to Creatives prepared by the Service, which the Customer may review, edit or reject before launch.
  2. The Customer must not use the Service to promote content that is unlawful, misleading or infringes the rights of third parties, in particular content that:
    • infringes copyright, trademarks or other intellectual property rights of third parties,
    • infringes the personality rights of third parties,
    • incites hatred against any nation, ethnic group, race, religion, class or other group of persons, or restricts the rights and freedoms of its members.
  3. The Customer may only provide data, images and videos that it has the right to use for advertising, and confirms that providing them does not infringe the rights of third parties.
  4. In line with Section 5 of Act No. 480/2004 Coll., on certain information society services, the Provider is not responsible for the content of information stored at the Customer's request. The Provider is not responsible for the completeness, accuracy or truthfulness of the Customer's Listings.
  5. The Provider may (but is not obliged to) check the Customer's content. If content may breach these Terms, the law, good morals or an Ad Platform's policies, the Provider may pause a campaign or a source of Listings or prevent its distribution.
  6. Creatives are prepared using artificial intelligence. Although the Service checks them with automated rules, the Provider does not guarantee that they are accurate, complete or suitable for a specific purpose.
  7. If a third party asserts claims against the Provider in connection with the Customer's content or campaigns, the Customer will promptly provide all documents necessary to defend against them and will reimburse the Provider for all reasonably incurred costs, including fines or penalties imposed by public authorities or Ad Platforms.

9. Price and payment

  1. The Service is paid for in Credits according to the Price List. Credits can be obtained through a subscription or a one-off package purchase.
  2. Credits are deducted for a successfully prepared Creative according to the Price List. If preparation fails, no Credits are deducted. Repeated generation of a Creative for the same Listing is not charged.
  3. Credits are tied to the Customer's account, are not transferable and cannot be exchanged for money. Credits provided free of charge (e.g. welcome or bonus credits) have no monetary value.
  4. Prices are stated excluding VAT, which is added at the statutory rate. An invoice is issued for each payment, with a due date of 14 days. If paid immediately by card, the invoice has no due date. The Customer agrees to receive invoices electronically at the email address in its account or another address it designates.
  5. If the Customer is late with a payment, the Provider may charge late payment interest at the annual PRIBOR rate valid on the first day of delay plus 0.5% p.a. for each day of delay, and may limit the Service until payment is made.

10. Intellectual property

  1. The Service, its software, design, templates and databases belong to the Provider. The Customer must not copy, modify, decompile or systematically extract the Service or its parts, or access it otherwise than through the provided interface, API and MCP.
  2. The Customer grants the Provider a non-exclusive, free-of-charge licence to use its Listings, logos, images and videos to the extent necessary to provide the Service (in particular to prepare Creatives and publish them on the Ad Platform) for the duration of the contract.
  3. The Customer may use the Creatives prepared for it without restriction for its own advertising, including after the contract ends.
  4. The Provider may use anonymised and aggregated data on the operation and performance of campaigns (e.g. which ad elements perform better) to improve the Service. Such data does not identify the Customer or any natural person.

11. Availability and liability

  1. The Provider strives for the highest possible availability of the Service but does not guarantee uninterrupted operation. The Service depends on third parties (Ad Platforms, AI model providers, hosting). The Provider will give advance notice of planned outages where possible.
  2. The Provider is not liable for indirect damage, lost profits, lost data or for damage caused by decisions of Ad Platforms or by interruption of the Service.
  3. The Provider's total liability for damage arising in connection with the Service is limited to the amount the Customer paid for the Service in the 12 months preceding the event giving rise to the damage. This limitation does not apply to damage caused intentionally or through gross negligence.

12. Suspension and termination

  1. The Customer may stop using the Service and terminate the contract at any time by notice sent by email. A subscription ends at the end of the paid period.
  2. The Provider may terminate the contract with 30 days' notice delivered to the Customer by email, stating the reasons.
  3. The Provider may immediately restrict or suspend the Service, pause campaigns or terminate the contract if the Customer breaches these Terms or the law, fails to pay, or if required by an Ad Platform or a public authority. The Provider will inform the Customer of the reasons in writing.
  4. If the Provider terminates the contract without the Customer being at fault, it will refund the proportional part of the price of unused paid Credits.
  5. After termination, the Provider will delete or return the Customer's data in accordance with the Data Processing Agreement. Campaigns running on the Customer's Ad Account remain under the Customer's control.

13. Personal data and cookies

  1. The processing of personal data and the use of cookies are governed by the Privacy Policy and the Cookie Policy, which form an integral part of these Terms.
  2. Where the Provider processes personal data contained in the Customer's data on the Customer's behalf, the Data Processing Agreement, which forms an integral part of these Terms, applies.

14. Final provisions

  1. The Provider may amend these Terms. It will publish each amendment on upwolf.com and send it to the Customer by email at least 15 days before it takes effect. If the Customer does not agree with the amendment, it may terminate the contract before the amendment takes effect. Amendments do not affect rights and obligations that arose under the previous version.
  2. To the maximum extent permitted by law, the parties exclude the application of Sections 2389a to 2389u of Act No. 89/2012 Coll., the Civil Code.
  3. These Terms and the relationship between the Provider and the Customer, including relationships with a cross-border element, are governed by Czech law. The courts of the Czech Republic have jurisdiction to resolve disputes.
  4. If any provision of these Terms is or becomes invalid or ineffective, it will be replaced by a provision whose meaning comes as close as possible to the invalid one. The validity of the other provisions is not affected.
  5. These Terms are issued in Czech and English. In the event of any discrepancy, the Czech version prevails.
  6. The Provider can be contacted at [email protected].
  7. These Terms take effect on 6 October 2026.
